How to Successfully Launch Your Franchise: A Step-by-Step Legal Guide for New Franchisees

As a former franchisee myself (Huddle House, Merle Norman, Dunkin Donuts), I understand the excitement—and the risks—of entering a franchise system. What looks like a proven business model on paper can quickly become a costly trap without proper legal guidance. Franchising can be an excellent path to entrepreneurship — but only if you get the legal foundations right from the beginning.
Here’s a practical, step-by-step guide to help you launch your franchise successfully.
1. Review and Understand the Franchise Disclosure Document (FDD)
Before you do anything else, carefully review the FDD provided by the franchisor. This document is your most important source of information.
Some key sections to focus on:
- Item 5 – Initial franchise fee and other costs
- Item 7 – Estimated initial investment
- Item 8 – Restrictions on sources of products and services
- Item 12 – Territory rights (*often a critical detail!)
- Item 16 – Restrictions on what you may sell
- Item 19 – Financial performance representations (if any)
Pro Tip: Never sign anything until a franchise attorney has reviewed the FDD and the Franchise Agreement with you. Many terms are negotiable, even if the franchisor says they’re not.
2. Form Your Business Entity (Usually an LLC)
Once you’re serious about moving forward, form your new legal entity — most often a Limited Liability Company (LLC).
Why an LLC is usually best for franchisees (not all-inclusive):
- Strong personal liability protection;
- Minimal ongoing obligations personal liability protection;
- Flexibility in management and taxation; and
- Professional appearance when dealing with the franchisor and lenders.
We help clients form their LLC quickly and correctly, ensuring it’s properly structured to hold the franchise. Often franchise agreements require specific actions for a franchisee's LLC, including specific wording and limitations on other activities - this is critical to follow and to comply with!
3. Thoroughly Negotiate and Review the Franchise Agreement
The Franchise Agreement is the controlling legal document. This is where we add the most value for our clients.
Common areas where we help negotiate or clarify:
- Territory rights and exclusivity;
- Renewal terms and conditions;
- Personal guarantees, including spousal;
- Transfer and exit rights;
- Advertising fund contributions; and
- Default and termination provisions. There are many, many more!
4. Secure Financing and Insurance
Work with lenders who understand franchising. Often we can help coordinate with your lender and help ensure all legal documents align properly. It is vital to follow the proper sequence in opening your franchise business, and securing financing at the appropriate time is extremely important to avoid delays. It is also important to understand liability implications with financing.
Don’t forget proper insurance — the franchisor will have specific requirements that must be met before opening.
5. Final Pre-Opening Checklist
- Lease review and negotiation (if applicable). We regularly work with commercial leases;
- Local business licenses and permits;
- Tax registrations (federal, state, and local);
- Banking and accounting setup (an EIN is obtained after forming your LLC); and
- Review of all operations manuals and training requirements (ops manuals are generally not provided until after the franchise agreement has been executed).
